Terms and Conditions of Service and Use - Biosphere Rocks

These Terms and Conditions govern access to and use of the Biosphere Rocks ecosystem. They apply to public web experiences, configured services, professional services, pilots, previews, beta access, technical infrastructure, traceability capabilities, evidence workflows, verification layers, community functions and any related capability that Biosphere Rocks effectively makes available.
The French version is the legal reference version. The English and Spanish versions are intended to remain contractually equivalent translations. These Terms are designed to cover current services, services made available through configuration, reasonable ecosystem evolution and capacities enabled for specific users or clients, without presenting all future or experimental capabilities as generally available public services.
Terms such as Proof of Records, Proof of Impact, Claim, Proof, VerificationPackage, Operational Preview, Commercial Estimate, BiosTrace, BiosContracts, BIOSChain and BiosNode may constitute technical or commercial names of the ecosystem. When Biosphere defines a specific technical meaning for those terms, they must not automatically be interpreted according to the ordinary legal meaning of words such as proof, certification, contract, verification or signature.
1. Purpose, scope and acceptance
These Terms define the legal framework applicable to access, browsing, use, configuration, purchase, activation or contractual use of Biosphere Rocks. They apply to visitors, users, organizations, operators, clients, pilot participants and any person interacting with the ecosystem.
Use of a public page, submission of information, activation of a simulation, request for a service, creation of an account, acceptance of a quote or use of any enabled feature constitutes acceptance of these Terms, subject to any more specific document that may apply to a particular service.
These Terms take effect from the date indicated in the last updated notice above and may be supplemented, where relevant, by service-specific information provided at the time of contracting.
2. Contractual definition of Biosphere Rocks
Biosphere Rocks is not described solely as a website, social network, SaaS, blockchain or AI tool. For contractual purposes, Biosphere Rocks is an ecosystem of software, operational infrastructure, coordination and structuring tools, artificial intelligence and automated assistance, local processing, traceability, evidence, technical verification, cryptographic integrity, records infrastructure, blockchain infrastructure, professional services, community capabilities, integrations and connectors.
Depending on availability, version, plan, jurisdiction, configuration or project scope, some components may be publicly accessible, privately configured, limited to pilots or delivered through professional services.
At the date of the latest update, the publicly confirmed contact details available in this project are Biosphere Rocks, 60, rue François 1er, 75008 Paris, France, and bios@biosphere.rocks. Additional corporate or registration information may appear in legal notices, invoices, quotes or other contractual documents where required.
3. bios.rocks public, operational and governance layer
bios.rocks may serve as the public, operational, commercial, community or governance web layer of the ecosystem. Depending on availability and configuration, it may include accounts, identity, profiles, public profiles, ideas, posts, comments, social interactions, community functions, campaigns, crowdfunding, StrategIA, documents, evidence, Proof Records, Impact Graph, Impact Profile, Operational Preview, Commercial Estimates, Public Simulations, Registry, payments, subscriptions, credits and integrations with BiosNode, BiosContracts, BiosTrace, BIOSChain and professional services.
Not all features mentioned in public content are necessarily active, generally available or enabled for every user. Legacy, historical or transitional experiences must not be interpreted as the principal current offer solely because they remain accessible.
Impact Profile and Impact Graph may, depending on configuration, structure, relate, represent, visualize or summarize information, activity, evidence, indicators, relationships or events. Such representations may be private, shared or public depending on the selected functionality and must not automatically be interpreted as certification, audit, official rating, regulatory validation or independently verified statements.
4. BiosNode local and hybrid infrastructure
BiosNode may be provided as local or hybrid software and infrastructure intended to support workspaces, processes, tasks, decisions, documents, evidence handling, OCR, timelines, recommendations, local or deterministic StrategIA functions, reporting, backups, hashes, signatures, node identity, AI Trace, synchronization and interoperability with other Biosphere components.
Local-first does not mean that all data always remains local. When a user activates synchronization, bios.rocks services, BiosContracts, AI providers, Google Drive, connectors or other external services, certain data, metadata, hashes, references, documents or operational information may be transmitted or made available outside the device to the extent required by the relevant functionality.
5. Local device security and user responsibilities
When local software or hybrid infrastructure is used, the physical and logical security of the device remains partly the responsibility of the user or client. This includes operating system access, local session security, files, credentials, API keys, PINs, tokens, backups and local secrets when such elements are used.
Biosphere Rocks cannot guarantee the security, confidentiality or integrity of a compromised, poorly administered or infected device.
6. Artificial intelligence and StrategIA
Biosphere Rocks may use or enable artificial intelligence capabilities, including StrategIA, local models, deterministic models, external providers, AI connectors, assisted analysis, recommendations, extraction, generation, classification, summarization and future AI features made available to users or clients.
AI outputs may be incorrect, incomplete, biased, outdated, misleading or inappropriate for a given use. They must be reviewed and assessed by the user or the relevant human operator before being relied upon for operational, legal, financial, tax, environmental, medical or other important decisions.
AI outputs do not automatically constitute legal, financial, medical, tax or regulated professional advice. An AI recommendation is not equivalent to a Biosphere decision. Human responsibility remains required where applicable.
7. Human oversight
Certain capabilities of the ecosystem may allow, require or document human review, human approval, human validation, human justification or human intervention.
When Biosphere records a human action or decision, this does not automatically mean that Biosphere verified the legal identity, authority, capacity, quality, sufficiency or legality of that person or decision, unless a specific service expressly includes such verification mechanisms.
8. BiosTrace traceability infrastructure
BiosTrace may be used as a traceability infrastructure or capability able, depending on configuration, to register or relate events, processes, interactions, recommendations, decisions, actors, timestamps, metadata, hashes, references, evidence and other traceability elements.
BiosTrace may help document, reconstruct or make visible certain flows and decision paths. It does not automatically demonstrate AI Act compliance, certify a decision, prove that a decision was correct or prove the material truth of source inputs.
9. Proof of Records
Proof of Records may use structured records, canonicalization, hashes, timestamps, metadata, states, evidence and integrations with Registry or BIOSChain.
A fundamental contractual principle applies throughout the ecosystem: the integrity of a record does not necessarily equal the material truth of the recorded fact. Depending on implementation, Proof of Records may help show existence, integrity, continuity, correspondence with a given hash or traceability, but it does not by itself guarantee that an event occurred, that content is true, that the author had authority or that the material is sufficient judicial proof.
10. Proof of Impact
Proof of Impact may involve information, evidence, indicators, validation, review, integrity, traceability, demonstration and generated reports or certificates.
Proof of Impact must not automatically be understood as an official ESG certification, financial audit, governmental certification, regulatory certification, assurance engagement or absolute guarantee of impact. When a specific review methodology or service exists, its scope depends on the applicable engagement.
11. BiosContracts
BiosContracts may support technical or semantic demonstration and evaluation flows, including flows such as Evidence, Evaluation, Explanation, Claim, Proof, VerificationPackage and BIOSChain registration.
Technical terms such as Contract, Claim, Proof, Verification or VerificationPackage may have a specific meaning within the Biosphere ecosystem and do not automatically mean a legal contract, certification, judicial proof, notarization, legal opinion or independent audit.
12. AI human oversight evaluation flows
BiosContracts or related capabilities may help evaluate structured requirements connected to human oversight, including references to AI recommendation, human decision, human justification or human identity reference.
The presence of such references does not necessarily mean that Biosphere materially verified authenticity, identity, authority, quality, sufficiency, legality or regulatory compliance, unless a specific service expressly includes that verification scope.
13. Legal contracts and electronic signatures
If acceptance or signature flows are enabled through bios.rocks, BiosContracts or any related service, technical integrity signatures and legal signatures must be distinguished carefully.
Unless a specific service has been expressly designed, documented and validated for that purpose, Biosphere Rocks does not state that its mechanisms constitute a qualified electronic signature, advanced electronic signature or general eIDAS compliance. Cryptographic signatures, envelopes, payload signatures, ledger signatures, node signatures or record signatures are technical integrity and authenticity mechanisms and must not automatically be confused with a qualified personal legal signature.
14. BIOSChain
BIOSChain may operate as an infrastructure for ledger functions, integrity, hashing, signatures, co-signatures, records, checkpoints, snapshots, verification registration, batch imports, explorer functions and anchoring.
The ecosystem may combine off-chain recording, internal ledger continuity, checkpoints summarizing a range or state and external anchoring when the relevant functionality is enabled.
15. Polygon, IOTA and compatible DLT infrastructure
Biosphere Rocks may use Polygon, IOTA or other compatible blockchain or DLT infrastructures when appropriate for a configured service, pilot, preview or later operational evolution.
These Terms do not mean that every record is on Polygon, on IOTA, on a public chain or automatically anchored. Use of such infrastructures may depend on configuration, preview access, technical availability or service design.
16. Blockchain evidentiary limits
A hash, signature, ledger entry, checkpoint, blockchain transaction or timestamp may help demonstrate integrity, existence, continuity, correspondence or registration at a given time.
However, those elements do not necessarily demonstrate the truthfulness of original content, legality, legal identity, authority, contractual validity or the material occurrence of the underlying fact.
17. Irreversibility and public anchoring caution
Some blockchain or DLT operations may be technically difficult or impossible to reverse, modify or delete once confirmed.
Biosphere Rocks seeks to minimize unnecessary personal data in such mechanisms, but users must avoid placing personal, confidential or sensitive information directly into public or irreversible fields when this is not required.
18. Public Simulations
Public Simulations may rely on public information, public data, hypotheses, models, scenarios, estimates, AI assistance or human review.
Unless expressly stated otherwise, a Public Simulation does not mean that the represented organization is a client, requested the analysis, validated the output, provided the underlying data, entered into a partnership or endorsement, or that Biosphere Rocks conducted an official audit. Public Simulations are demonstrations, scenarios or hypotheses intended to show capabilities or explore possible situations.
19. Operational Preview and Commercial Estimates
Operational previews, diagnostics, readiness assessments, scenarios and commercial estimates may be provided for orientation, exploration or business preparation purposes.
An estimate is indicative only unless expressly confirmed otherwise. It does not necessarily constitute a binding quote, guarantee ROI, guarantee savings, guarantee funding, guarantee impact or constitute a contractual offer in itself.
20. Professional services
Biosphere Rocks may provide professional services such as diagnostics, consulting, onboarding, configuration, implementation, support, analysis, Impact and Grants services, Operational Integrity, Startup and Growth services, AI governance, traceability, reporting, blueprints, custom services, training and related ecosystem services.
Specific commercial or contractual documents such as a quote, proposal, statement of work, order form, contract, engagement letter or special conditions may define the scope, deliverables, assumptions, dependencies, timing, client cooperation, pricing, acceptance criteria, support, intellectual property, confidentiality, liability and service-specific rules. In case of contradiction, the specific document prevails for the relevant service.
21. Beta, preview, pilot, experimental and development features
Biosphere Rocks may enable alpha, beta, pilot, preview, experimental, early access or development capabilities.
Those capabilities may change, contain errors, be incomplete, have limited availability, lose data, change APIs, require configuration, be withdrawn, have no SLA or be incompatible with future versions. These Terms apply to such capabilities from the moment Biosphere Rocks enables them for a user or client, even if they are not generally available to the public.
22. Accounts, identity and access control
The ecosystem may include accounts, email and PIN login, authentication providers such as Supabase Auth when relevant, organizations, workspaces, nodes, roles, permissions and service identities.
Users must provide accurate information, protect credentials, avoid inappropriate credential sharing and notify relevant security issues, including suspected credential compromise or unauthorized access, when reasonable. Biosphere Rocks is not required to publicly describe all technical details of its authentication architecture.
23. User content and intellectual property
Users retain their rights in posts, ideas, comments, documents, evidence, contracts, data, files, images, outputs, project information and synchronized content that they provide.
Content that a user intentionally publishes through a public profile, post, idea, comment, campaign or community feature, when enabled, may become visible according to the relevant functionality. Documents, evidence, workspaces, contracts and other private materials must not be treated as public solely because Biosphere services are used.
Users grant Biosphere Rocks only the rights necessary to store, process, transmit, technically reproduce, convert, analyze, synchronize, verify, display when publication is requested and operate or protect the service. No broad promotional license over private client content is presumed. Public or commercial reuse of non-public client material for marketing requires a separate legal basis or permission where applicable.
Users remain responsible for content they publish and for ensuring that they hold the rights, permissions and legal basis required to share it. Biosphere Rocks may moderate, restrict or remove content when it is unlawful, fraudulent, abusive, infringes third-party rights, creates a security risk or otherwise breaches these Terms, subject to applicable law.
Platform elements, interfaces, service structures, logos, text, visuals, documentation and proprietary technical materials remain protected by intellectual property law.
24. Confidentiality
Biosphere Rocks will apply reasonable protection to non-public information processed through private or professional services.
A distinction must be made between voluntarily published public content, private content, confidential information and data sent to external providers because of user activation or service configuration. Certain functions may transmit information to third-party providers for cloud, storage, AI, payments, authentication, email, blockchain or RPC access, analytics, infrastructure or integration purposes when the user activates them, the client configures them or they are necessary to provide the relevant service.
Biosphere Rocks does not claim to provide legal or medical professional secrecy unless such status is expressly and lawfully applicable.
25. GDPR and privacy
These Terms provide a general legal framework but do not replace a future Privacy Policy, data processing agreement or dedicated privacy documentation. Depending on context, Biosphere Rocks may act as controller or processor.
Processed data may include identity, contact information, profiles, content, documents, evidence, contracts, IP addresses, logs, metadata, billing information, operational information and prompts or outputs where applicable. Some documents may contain special categories of data. Users and clients remain responsible, according to their role, for ensuring that they have the required legal basis, authorizations, notices, instructions, permissions and data minimization measures needed to provide such data to Biosphere Rocks or process it through the service.
Deletion, return or restriction of information may depend on the relevant service, legal obligations, backups, logs, security records, external providers, integrity references, hashes, checkpoints or technically irreversible blockchain or DLT operations. No retention period or absolute deletion promise must be assumed unless expressly stated in dedicated documentation or required by law. Complementary documents such as a Privacy Policy, data processing agreement, Cookie Policy, AI transparency notice, subprocessors list, specific service terms or campaign terms may further specify those matters when published.
26. Third-party providers
Biosphere Rocks may reasonably rely on third parties for cloud, hosting, databases, authentication, payments, storage, email, AI, blockchain or RPC access, analytics and infrastructure functions.
Provider lists, subprocessors and technical conditions may evolve over time and may be described in privacy or operational documentation when available. Biosphere Rocks does not guarantee uninterrupted availability, unchanged third-party pricing or long-term compatibility with every third-party service.
27. Payments, billing and credits
The applicable price is the one displayed or expressly accepted at the time of payment, quote acceptance or contractual engagement. Biosphere Rocks may offer subscriptions, one-time payments, professional service fees, usage-based services, credits, top-ups and payments through Stripe or other authorized processors.
Additional charges may arise from usage, processing, synchronization, storage, external infrastructure, AI calls, review operations, traceability functions, verification functions or third-party costs when this is part of the selected service. If an offer includes automatic renewal, the corresponding billing cycle and renewal conditions must be displayed or agreed at the time of contracting. Cancellation, its effective date, and any refund or reimbursement rights depend on the selected offer, the services already performed, any specific conditions and mandatory law, including consumer law where applicable.
Credits or prepaid mechanisms, when offered, are contractual usage tools and do not constitute deposits, electronic money, securities, crypto-asset investment products or rights to financial return. Their validity, expiry, refundability, transferability and any top-up rules depend on the applicable offer, checkout, quote or contract. If campaign or crowdfunding features are enabled, the applicable economic terms, fees and third-party payment conditions must be shown or agreed in the relevant flow or offer, and Biosphere Rocks does not guarantee that a campaign will reach its target or obtain funding.
28. Acceptable use and prohibited conduct
Users must not use the ecosystem for fraudulent, deceptive, unlawful, abusive or integrity-undermining activities.
- submitting false, manipulated or unauthorized evidence or records
- misrepresenting compliance, impact, authority or partnership status
- using AI capabilities irresponsibly or in breach of law
- attempting unauthorized access, security bypass, technical abuse or infrastructure disruption
- using the services in violation of sanctions, export controls, consumer law, financial law or other mandatory law
29. Availability, suspension, evolution and geographic restrictions
Biosphere Rocks may modify, restrict, suspend, retire or replace features, plans, pilots, previews or integrations for legal, technical, commercial, security or operational reasons.
Some services may be unavailable in certain jurisdictions or for certain users due to sanctions, payment restrictions, AI restrictions, blockchain restrictions, regulatory risk or technical limitations. Historical, experimental or legacy routes may remain visible without creating an obligation of continued support or availability. Unless expressly agreed otherwise in writing, Biosphere Rocks does not commit to a specific SLA, uptime level, response time, uninterrupted beta or preview availability, or indefinite retention period.
30. Warranties, limitation of liability, governing law and language
Except where mandatory law provides otherwise, Biosphere Rocks provides the ecosystem, simulations, tools, professional services and technical capacities on an evolving basis and without automatic guarantee of regulatory compliance, business outcome, funding, impact, uninterrupted availability or suitability for a specific objective.
To the extent permitted by law, Biosphere Rocks is not liable for indirect losses, lost opportunity, lost revenue, third-party outages, local device compromise, incorrect AI outputs, source data inaccuracies, blockchain or DLT issues, payment processor issues or decisions made by users or third parties on the basis of ecosystem outputs.
When the user acts as a consumer, nothing in these Terms shall deprive that user of any mandatory rights available under applicable law, including mandatory rights relating to cancellation, withdrawal, refunds, jurisdiction, limitation of liability or unfair terms review. When applicable law grants a consumer a withdrawal right, that right shall apply under the conditions provided by such law and, where relevant, by the information supplied at the time of ordering.
These Terms are governed by French law. The parties will first seek an amicable resolution. Jurisdiction shall be determined in accordance with applicable rules, it being understood that mandatory consumer jurisdiction rights remain preserved and that, for professional parties where legally permissible, the competent court may be determined by the applicable contract. Biosphere Rocks may update these Terms and the service over time; when a material contractual change significantly affects rights or obligations, Biosphere Rocks may inform users by reasonable means where required by applicable law. The Terms may be published in several languages, but the French version prevails in case of interpretation divergence, subject to mandatory applicable law.
