Terms and Conditions of Use - Biosphere Rocks

These Terms and Conditions govern access to and use of Biosphere Rocks and its related products, interfaces, premium capabilities and ecosystem services.

Biosphere Rocks and Bios Rocks refer to the same legal entity. By accessing the platform, creating an account, activating a plan or making a payment, the user accepts these Terms.

1. Purpose and scope

These Terms define the legal framework applicable to Biosphere Rocks as a software, impact infrastructure and ecosystem platform. They apply to visitors, registered users, organizations, projects and any person using free or paid functionalities.

These Terms cover access to the public directory, StrategIA, Impact Profile, Impact Graph, proof and traceability layers, community features, crowdfunding features when available, and any related premium capability activated by plan or usage.

2. Services and ecosystem features

Biosphere Rocks offers a set of digital tools and services that may evolve over time according to product availability, plan activation and technical readiness.

  • Impact Profile and Impact Graph
  • proof, traceability and verification layers, including BiosTrace and BiosChain
  • community, marketplace, crowdfunding or social participation features when available

3. Access to premium functionality

Certain capabilities are available only to users or organizations with an active paid plan, feature activation or approved account status.

Premium functionality may include, without limitation, StrategIA, Impact Profile, Impact Graph, advanced project tools, proof layers, premium support and other features designated by Biosphere Rocks as premium or usage-based.

4. Accounts, eligibility and user responsibilities

Users must provide accurate information, keep their credentials secure and use the platform in compliance with applicable law and these Terms.

Users remain responsible for the data, documents, content, project information and representations they publish or process through the platform.

5. Subscriptions, duration and renewal

Biosphere Rocks may offer monthly or annual subscriptions, including plans such as Starter and Growth, and may add or modify plans over time.

Unless otherwise stated at checkout, subscriptions renew automatically for the same billing period until cancelled by the user or terminated by Biosphere Rocks in accordance with these Terms.

Cancellation stops renewal for the next billing cycle, but access already paid for remains active until the end of the current paid period. No partial refund is due for a billing period that has already started, except where mandatory law provides otherwise.

A subscription grants access to the platform and its premium features but does not include unlimited usage of all services. Certain functionalities, including AI processing (StrategIA), traceability (BiosTrace), and blockchain anchoring (BiosChain), may generate additional usage-based costs.

6. Payments, billing and acceptance before purchase

Before purchasing a subscription, activating a paid feature or making any payment, the user must review and accept these Terms.

Payments are currently processed primarily in fiat currency through Stripe. Biosphere Rocks does not directly store full card or banking credentials when payments are handled by Stripe or another authorized payment provider.

Reference pricing may be displayed in EUR. Invoices, billing summaries or payment confirmations may be issued when supported by the system and where required by applicable law.

Invoices or payment confirmations may be issued based on the information provided by the user. It is the user’s responsibility to ensure that billing details are accurate and complete. Availability of formal invoices may depend on jurisdiction and account type.

7. Variable technical consumption and additional usage

Some capabilities may generate additional technical usage and related costs, including AI requests, StrategIA usage, BiosTrace operations, BiosChain operations, anchoring, blockchain transactions, gas fees, storage, processing or external infrastructure consumption.

These technical costs may be variable. Estimated costs or usage indicators may be displayed where applicable, but the underlying rates, infrastructure costs and processing conditions may evolve over time.

8. Prepaid credits

Biosphere Rocks may allow users to purchase prepaid credits to consume certain technical functions or premium capabilities.

Prepaid credits are a contractual usage mechanism only. They do not constitute electronic money, a deposit, a financial instrument, a crypto-asset investment product or any regulated stored-value product.

Unless stated otherwise in a specific commercial offer, prepaid credits do not expire under the current product policy. They are non-refundable except where required by law or where Biosphere Rocks decides, at its sole discretion, to grant an exceptional commercial refund.

In the event of account suspension, restriction, or termination due to a breach of these Terms, applicable law, or compliance requirements, any remaining prepaid credits may be suspended or permanently forfeited without compensation. Credits are personal, non-transferable, and cannot be converted into monetary value.

9. Crowdfunding, community and marketplace features

Crowdfunding, community, idea publication, initiative publication, social participation and marketplace features may remain available in certain parts of the ecosystem, but they are not the sole or core definition of the product.

When such features are active, they remain subject to specific operational rules, third-party payment constraints, local legal restrictions and technical availability.

10. Data protection and privacy

Biosphere Rocks processes personal data in accordance with applicable data protection law, including the GDPR where relevant.

Users remain responsible for ensuring that any personal data, documents or evidence they upload may lawfully be processed through the platform.

11. User-generated content and intellectual property

Users retain ownership of the content, materials and project information they submit. However, the user grants Biosphere Rocks a non-exclusive, worldwide, royalty-free license to host, display, index, process and share such content to operate, secure, improve and promote the platform and its ecosystem.

All platform elements, including software, interfaces, texts, logos, visuals, product names and documentation, remain protected by intellectual property law and may not be copied or reused without authorization.

12. Acceptable use and prohibited conduct

Users must not misuse the platform, misrepresent projects, engage in fraud, publish unlawful content, attempt to bypass billing rules, manipulate visibility or use the services in a manner contrary to the values of integrity, sustainability and transparency.

13. Technical availability and third-party dependencies

Some platform functions rely on third-party services or external infrastructure, including Stripe, AI providers, blockchain networks, decentralized or cloud storage systems and technical processors.

Biosphere Rocks does not guarantee uninterrupted availability, fixed execution times, stable transaction costs or permanent access to third-party services. Availability, latency, pricing and technical conditions may vary.

14. Limitation of liability

Biosphere Rocks provides the platform on an evolving basis and does not guarantee that any service will always be available, error-free or suited to a specific legal, financial or operational objective.

To the maximum extent permitted by law, Biosphere Rocks shall not be liable for indirect damages, loss of revenue, failed fundraising expectations, technical interruptions, third-party outages, blockchain volatility, payment processor issues or misuse by users.

15. Crypto and blockchain-related risks

Certain services may involve crypto-assets, blockchain anchoring, smart contracts or token-related flows, whether currently active or introduced later. Users acknowledge the technical, legal and market risks inherent in such mechanisms.

Nothing on the platform constitutes investment advice, a financial solicitation or a guarantee of return.

16. Geographic restrictions and legal compliance

Some services may be unavailable in certain jurisdictions depending on local law, sanctions regimes, payment restrictions, crypto regulation or product qualification risk.

Users are solely responsible for ensuring that use of Biosphere Rocks is lawful in their jurisdiction.

17. Suspension, modification and termination

Biosphere Rocks may suspend access, restrict features, modify plans, update pricing, discontinue services or terminate an account in the event of breach, legal risk, abuse, non-payment or technical necessity.

The product, features and commercial model may evolve over time. Updated versions of these Terms will be published on the platform.

18. Governing law, disputes and language

These Terms are governed by French law. In the event of a dispute, Biosphere Rocks will first seek an amicable resolution. Failing that, the courts of Paris shall have jurisdiction unless mandatory law provides otherwise.

Terms are made available in English, Spanish and French. For legal interpretation within French territory, the French version prevails.
